In order for you (the "member") to use the Doba service, you are required to agree to the following Fees and Cancellation Policy. The Doba service is offered to you conditioned on your acceptance without your modification of the terms, conditions, and notices contained herein. Your use of the Doba service constitutes your agreement to all such terms, conditions, and notices. Your use of a particular Doba website included within the Doba area may also be subject to additional terms outlined elsewhere on those sites. If you use the services provided by Doba through third-party software, platforms or other tools, you agree to be bound by the terms of this agreement.
1. Changes to the Fees and Cancellation Policy.
Doba reserves the right, from time to time, with or without notice to you, to change the Fees and Cancellation Policy at our sole and absolute discretion. The current published version of the Fees and Cancellations will supersede all previous versions. Your use of the Doba website or continued use of our service after changes is made means that you agree to be bound by such changes.
2. Subscription Rates.
All prices listed are in US dollars unless otherwise stated within this policy. In order for retailers to access and use the Doba tools and services, they must agree to our current payment terms.
Subscription fees: Subscription fees are charged for the right to access the marketplace, use the order fulfillment services, and managing tools provided by Doba.
Doba reserves the right to offer promotional campaigns periodically, during which eligible users may access services at a discounted trial rate below the standard listed price for a specified period ("Trial Period"). Upon expiration of the Trial Period, Doba will automatically charge the full subscription fee corresponding to your selected subscription plan tier. This charge will be executed without any further notice, thus it is your responsibility to be aware of the expiration date of your Trial Period.
Also, Doba reserves the right to alter pricing or limit orders based on account activity. The above-mentioned fees are not inclusive of product costs, shipping rates, drop and/or order handling fees and transaction charges, which shall be paid separately at the time of purchase.
3. Limited-Time Offers.
The above-mentioned fees may not apply to customers who are qualified for or using a promotional offer. If you believe you are subject to any special promotional rates and you have any questions as to the fees that apply to your subscription or purchase, please contact Customer Support.
4. Payment Terms.
SUBSCRIPTION FEES
All members are required to place a valid form of accepted payment method on file, such as credit cards, debit cards, and other valid forms of payment on file for Doba to charge a subscription fee. Payments made on the Billing Date (as defined below) are used for getting access to the Doba site until the next Billing Date.
To save a new payment method (accepted credit cards include the following: Visa, MasterCard, American Express, Discover) on your Doba account, you may simply add your cards to the "Wallet" section. Please check with your issuing bank in advance to determine if these or other limitations and restrictions may be applied to your card.
Accounts without a valid payment method on file at the end of the current billing cycle will be disabled. Disabled accounts will be held in an inactive state, tools, and systems on the Doba site will be discontinued, until a valid payment method is added on file and successfully charged.
5. Billing Cycles and Expiration Dates.

The date on which the member selects a subscription plan is considered to be the subscription "Billing Date" and the member will be charged monthly, quarterly or annually for the next subscription period. Subsequent charges are posted on the corresponding Billing Cycle Date according to your subscription type.

Monthly, auto-renewing - example:
If you start a new subscription on August 1st, your accepted payment method on file will be charged that day, and the next Billing Date is September 1st. If the scheduled Billing Cycle Date falls on the 29th, 30th or 31st, but such date does not exist in the current month, the Billing Date will be adjusted to the last day of that month. You must cancel or change your subscription before the next Billing Cycle Date to avoid additional charges. When your subscription is canceled, your access to the Doba site will also be terminated.

Quarterly, auto-renewing - example:
If you start a new subscription on Feb 1st, your accepted payment method on file will be charged that day, and the next Billing Date is May 1st. If the scheduled Billing Date falls on the 29th, 30th, or 31st, but such date does not exist in the current month, the Billing Date will be adjusted to the last day of that month. You must cancel or change your subscription before the next Billing Cycle Date to avoid additional charges. When your subscription is canceled, your access to the Doba site will also be terminated.

Annual, auto-renewing - example:
If you start a new subscription on July 1st, 2003, your accepted payment method on file will be charged that day, and the subscription will expire at midnight of July 1st, 2004. If the scheduled Billing Date falls on the 29th, 30th, or 31st, but such date does not exist in the current month, the Billing Date will be adjusted to the last day of that month. 30 days and 7 days before your subscription expires, an e-mail will be sent to the e-mail address that you left as your registration or in your account information, notifying you that your annual subscription is about to be automatically renewed; you are responsible for maintaining an available e-mail address on file. You must cancel or change your subscription prior to the billing date to avoid additional charges. When your subscription is canceled, your access to Doba site will also be terminated.
6. Commitment Period.
Upon subscribing to the Service, you shall have the option to (a) enter into a fixed service period (hereinafter referred to as the "Commitment Period"), or (b) forgo such commitment. Opting for the Commitment Period shall entitle you to certain advantages, which may include, but are not limited to, reduced fees or an extension of the subscription term at no additional charge. Should you elect the Commitment Period, you are obligated to retain the subscription plan for the duration of the Commitment Period.
The Commitment Period begins upon confirmation of participation in the Commitment Period activity and ends when the final payment of the agreement term has been processed. You are unable to cancel your Plan or request a refund during the Commitment Period. If you wish to cancel your Plan within the Commitment Period, you must contact Doba directly. Doba may impose a cancellation fee equal to 100% of the remaining Plan fees for the Commitment Period, unless otherwise specified by the terms of the Commitment Period promotion. In the event of a failed payment attempt using the member’s payment method on file during the Commitment Period, Doba reserves the right to collect any unpaid amounts owed for the remainder of the agreement term through alternative methods.
7. Chargebacks.
Every member must agree to the Terms and Conditions, which is a binding, ongoing contract between you and Doba. A chargeback is considered a breach of the contract. Access to the Doba service will be immediately suspended. Doba reserves the right to pursue the subscriber civilly and/or criminally for any breach of the contract. In addition, by accepting the Terms of Use, you agree that the laws of the State of Utah and Utah County shall have exclusive jurisdiction over any dispute or claims, policies, and procedures between you and Doba relating to all aspects of Doba services, website(s) and/or these Terms. You expressly and irrevocably consent to personal jurisdiction and venue in these courts. Parties will be responsible for each of their respective attorneys' fees and court costs.
8. Account Billing Information Invoicing Procedures and Payments.
At the time the member selects a Doba's service, a billing is assigned to the account. The Billing Date and subscription type will be clearly displayed on the "Pricing Plan" page.

9. Alteration
Change the Subscription level.
Monthly, quarterly, and annual subscription payments are processed each month, quarter, and year, respectively, on the account Billing Date. Processing of the payments may take an additional 30 days after the Billing Date. To change your subscription level, you can log in to your account and visit the "Pricing Plan" section, or you can contact us before the next Billing Cycle Date to avoid additional charges. For instance, when you convert your subscription from a monthly to an annual one, the remaining days of the monthly subscription will be converted to a corresponding number of days on an annual subscription, and the annual subscription payment will be charged when the converted time ends. When the subscription is about to expire, you will be notified of the subscription at the annual subscription renewal rate offered at that time.
10. Cancellation.
The member may cancel their trial/monthly/quarterly/annual subscription plans at any time by:
- 1. Logging in to your Doba.com account.
- 2. Clicking "Pricing Plan" on the left navigation panel.
- 3. Clicking on the "Actions" button located in the upper right corner of your Plan section.
- 4. Clicking the "Cancel Subscription" link and follow the instructions.
Please ensure you follow all the prompts and instructions after clicking on the "Cancel Subscription" link to finalize the cancellation process.
When your subscription is canceled, your access to the Doba site will be terminated. Once the subscription fee is successfully charged for over 72 hours, you will not be entitled to a full refund of any monthly/quarterly/annual subscription. Also, any trial subscriptions are not eligible for refunds.

11. Financial Responsibility.
The member agrees not to assign, transfer or sublicense their rights to the Doba fee-based services and agrees to be financially responsible for all usage or activity on this fee-based services account. In the event that Doba must collect unpaid service amounts from a member, that member will be held liable for all applicable attorneys' and collection agency fees.
